Terms of Service

1. Introduction & Acceptance

Clawy is operated by Allonsy GmbH, Haldesdorfer Str. 14, 22179 Hamburg, Germany (HRB 149247, Amtsgericht Hamburg).

By accessing or using Clawy, you agree to be bound by these Terms of Service. If you do not agree, you must not use the service.

We may update these terms from time to time. We will notify you of material changes via email or an in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated terms.

2. Service Description

Clawy is an Infrastructure-as-a-Service (IaaS) platform that provides dedicated virtual machines with pre-configured AI agents. The service is provided on an "as-is", best-effort basis.

3. Account Responsibilities

You must provide accurate information when registering for the service. You are responsible for maintaining the confidentiality of your credentials, including passwords, SSH keys, and API tokens.

You are responsible for all activity that occurs under your account, whether or not you authorized it. Notify us immediately if you suspect unauthorized access.

4. Acceptable Use Policy

You are solely responsible for all activity within your VM. You agree not to use Clawy for any of the following:

  • Any activity that violates applicable laws or regulations
  • Distribution of malware, viruses, or other harmful software
  • Sending unsolicited bulk messages, spam, or mass emailing
  • Launching or facilitating denial-of-service (DDoS) attacks or participating in botnets
  • Port scanning, network probing, or unauthorized access to other systems or networks
  • Distribution or storage of child sexual abuse material (CSAM) or any illegal content
  • Cryptocurrency mining without prior written consent
  • Torrenting, piracy, or distribution of copyrighted material without authorization
  • Hosting or distributing illegal content of any kind — we may terminate access immediately upon discovery
  • Resource abuse, including excessive CPU, memory, or bandwidth consumption beyond your service plan limits
  • Any activity intended to harm Clawy's infrastructure or other customers

We may suspend or terminate your account immediately and without refund for violations of this policy. We reserve the right to report illegal activity to the appropriate authorities.

5. Digital Services Act (DSA) Compliance

Clawy is a hosting service provider within the meaning of the Digital Services Act (Regulation (EU) 2022/2065). As such, we maintain the following obligations:

Notice-and-Action

Any individual or entity can report illegal content hosted on Clawy via abuse@clawy.io or our online report form. We will acknowledge receipt and review all reports within 72 hours.

Enforcement

We may disable or restrict access to VMs hosting clearly illegal content. Affected users will be notified of the action taken and the reasons for it, and may submit a counter-notice.

Transparency

We will publish annual transparency reports on content moderation actions when required by applicable DSA thresholds.

6. EU AI Act

Clawy provides infrastructure only. We are not an AI provider or AI deployer within the meaning of the EU AI Act (Regulation (EU) 2024/1689).

  • Customers who deploy AI systems within their VMs are solely responsible for their own compliance with the EU AI Act
  • Customers must independently classify their AI use cases and fulfill all applicable obligations (e.g., risk assessments, transparency requirements, conformity procedures)
  • Clawy makes no representations or warranties regarding the compliance of any AI system running within a customer's VM

If you have questions about AI compliance, we recommend consulting with a qualified legal professional.

7. Sanctions & Export Control

The service is not available to individuals or entities subject to sanctions imposed by the European Union, the United Nations, or the U.S. Office of Foreign Assets Control (OFAC).

  • By using Clawy, you represent and warrant that you are not listed on any applicable sanctions list
  • You warrant that you will not use the service to facilitate transactions with sanctioned persons or entities
  • We reserve the right to screen users and to refuse or terminate service to anyone we reasonably believe is subject to sanctions

8. Data & Privacy

We store account data (email address, username, and a hashed password) solely for the purpose of authentication and account management. We do not sell, share, or transfer your personal data to third parties.

You own all data stored on your virtual machine. We do not access, monitor, or process any data within your VM unless required for troubleshooting at your explicit request.

Clawy does not provide automatic backups. You are solely responsible for backing up your data. We are not liable for any data loss.

Upon termination of your account, you will have 30 days to retrieve your data before it is permanently deleted.

9. Virtual Machine Disclaimer

You have full root access and complete control over the software, data, and configuration within your VM. This access means full responsibility.

Allonsy GmbH is not liable for:

  • Data loss or corruption within your VM
  • Security incidents resulting from misconfiguration or vulnerabilities
  • Actions taken by AI agents running inside your VM
  • Downtime caused by software you install or configure
  • Any consequences of commands executed with root access

You are responsible for OS patching, application security, access control, and any software you install or operate within your VM.

10. Third-Party Services

Clawy integrates with third-party services including but not limited to Anthropic (Claude API), OpenAI, and Telegram. These are your own subscriptions governed by their respective terms.

Clawy is not responsible for the availability, performance, security, or terms of any third-party service. You must comply with each third-party provider's terms of service independently.

Any API keys or credentials you provide for third-party services are stored solely within your VM and are not accessed by Clawy.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Allonsy GmbH's total aggregate liability for any claims arising from or related to the service shall not exceed the total fees paid by you in the twelve (12) months preceding the claim.

In no event shall Allonsy GmbH be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Lost profits or revenue
  • Loss of data
  • Business interruption
  • Cost of substitute services

This limitation does not apply to damages caused by gross negligence (grobe Fahrlässigkeit) or willful misconduct (Vorsatz) on the part of Allonsy GmbH, or to any liability that cannot be excluded under applicable law.

12. Indemnification

You agree to indemnify and hold harmless Allonsy GmbH, its officers, employees, and agents from and against any and all third-party claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of the service or violation of these terms
  • Content or data you store, process, or transmit through the service
  • Your violation of any third-party rights or applicable law
  • Any activity conducted within your VM, including but not limited to network attacks, illegal content hosting, spam, or resource abuse
  • Any claims by third parties arising from your use of the service, including claims related to DDoS attacks, piracy, or unauthorized access originating from your VM

13. Service Availability

Clawy is provided on a best-effort basis. We do not guarantee any specific uptime level unless you have purchased a separate Service Level Agreement (SLA).

Scheduled maintenance may occur from time to time. We will provide reasonable advance notice when possible.

Allonsy GmbH is not liable for service interruptions caused by events beyond our reasonable control, including but not limited to natural disasters, power outages, internet disruptions, government actions, or acts of war (force majeure).

14. Termination

You may cancel your account at any time through the account settings.

Clawy may suspend or terminate your account immediately and without notice for violations of the Acceptable Use Policy or these terms.

For other reasons, Clawy will provide 30 days' written notice before terminating your account.

After termination, you will have 30 days to retrieve your data. After this period, all data associated with your account, including VM contents, will be permanently deleted.

15. Intellectual Property

You retain all rights to the content and data you create, store, or process through the service. Clawy does not claim any ownership over your intellectual property.

The Clawy platform, including its software, design, and infrastructure, remains the property of Allonsy GmbH. You are granted a limited, non-exclusive, non-transferable license to use the service for its intended purpose during your use of the service.

16. GDPR & Data Processing

Allonsy GmbH is an EU-based company subject to the General Data Protection Regulation (GDPR). Where Clawy processes personal data on your behalf, we act as a data processor under Article 28 GDPR.

  • Data location: All infrastructure is hosted on Hetzner dedicated servers in Germany
  • Sub-processors: Hetzner Online GmbH (infrastructure hosting)
  • Breach notification: We will notify affected customers without undue delay upon becoming aware of a personal data breach
  • Data rights: You may request deletion or export of your personal data at any time by contacting us

17. Governing Law & Disputes

These terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, excluding its conflict of laws provisions.

The exclusive place of jurisdiction for all disputes arising from or in connection with these terms is Hamburg, Germany. Before initiating legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct communication.
